1. Acceptance of Terms

By accessing or using Flexwin Agencies (the "Platform"), you agree to be bound by these Terms & Conditions ("Terms"). If you do not agree with any part of these Terms, you must not use the Platform.

2. About the Company

Flexwin Agencies is a brand under CODESPHERE DESIGNERS, registered in Kenya (Business Number: BN-2OSJQWY2 by the Registrar of Companies on 23 April 2024). The Platform connects users with opportunities to earn by engaging with digital content, referral activities, and mentorship programs.

3. Nature of Services

Flexwin provides online earning programs, affiliate marketing, mentoring, and promotional resources. Services may include (but are not limited to) watching videos, completing surveys, clicking ads, and participating in referral campaigns. The Platform's offerings, pricing, or availability can change from time to time at the Company’s discretion.

4. Eligibility

• Users must be at least the minimum legal age in their country to form a binding contract (18 years in Kenya unless local law states otherwise).
• By registering, you represent and warrant that all information provided is accurate and you are eligible to participate.

5. Registration & Activation

To use some features of the Platform, you must register an account and pay any required activation fee. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

Note: Activation fees (if any) and account requirements will be clearly stated at the point of registration.

6. Earnings & Withdrawals

Account Balance (Withdrawable): The amount shown as your Account Balance becomes withdrawable when it reaches the minimum withdrawal threshold of KSH 150 (or any other threshold the Company may publish). Withdrawals are processed via supported payment methods (e.g., M-PESA) and are subject to verification and any processing times described by the Platform.

Total Earnings (Display Only): Your Total Earnings is a display metric used to show progress and engagement. Total Earnings may include amounts that are not immediately withdrawable (such as bonuses or non-cashable progress figures).

The Company reserves the right to delay, withhold, or refuse withdrawals where fraud, suspicious activity, or a violation of these Terms is suspected.

7. Referral System

Flexwin operates a multi-level referral program. Example payout structure (illustrative and subject to change):

• Level 1 (Direct): Inviter earns a direct commission when a referred user activates.
• Level 2: Inviters may earn a secondary commission when a Level 1 user’s referral activates.
• Level 3: A tertiary commission may be paid when a Level 2 user’s referral activates.

Commissions and percentages (e.g., KSH 80, KSH 40, KSH 10) used on the Platform are examples and may be updated in the Platform’s published policy. Users should consult their dashboard or official payout schedule for current rates.

The Company may suspend referral rewards for users who abuse the system, use fake accounts, or otherwise attempt to manipulate referral mechanics.

8. Marketing, Mentorship & User Conduct

Users may market Flexwin using permitted channels (e.g., social media, WhatsApp, TikTok, Facebook). All marketing must:

• Be truthful and not misleading about earnings or guarantees.
• Respect platform-specific rules (e.g., community standards for Facebook, TikTok ad policies).
• Not use spam, unsolicited mass messaging in violation of local laws, or deceptive practices.

Mentorship programs offered through the Platform should follow provided guidance and avoid coercive tactics. Misconduct or repeated complaints may lead to account suspension.

9. Privacy & Data Protection

Flexwin collects and processes personal data in accordance with its Privacy Policy. By using the Platform you consent to the collection, processing, storage, and transfer of your personal data as described in that policy.

Users should not share sensitive personal information publicly (e.g., ID/passport numbers) unless uploading through secure official KYC channels specified by the Platform.

10. Limitation of Liability & Indemnity

To the fullest extent permitted by law, the Company, its officers, employees, and agents will not be liable for indirect, incidental, special, or consequential losses arising from your use of the Platform. The Platform is provided "as is" and the Company disclaims warranties to the fullest extent permitted by law.

You agree to indemnify, defend and hold harmless the Company from any claim, loss, damage, liability or expense (including reasonable attorneys’ fees) arising from your breach of these Terms or your violation of law or rights of a third party.

11. Termination

The Company may suspend or terminate accounts for violation of these Terms, fraudulent activity, or where required by law. On termination, certain rights and obligations (e.g., confidentiality, indemnity) survive.

12. Governing Law & Dispute Resolution

These Terms are governed by and construed in accordance with the laws of the Republic of Kenya. Any disputes arising from or relating to these Terms will be subject to the exclusive jurisdiction of the Kenyan courts, unless the parties agree otherwise in writing.
